1. Acceptance of Terms

By accessing or using the NexFix platform, website, mobile features, or any related services (collectively, the "Service") provided by Vyrona Labs LLC ("NexFix," "we," "us," or "our"), a Florida limited liability company, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service. You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older.

2. Description of Service

NexFix is a technology platform that connects homeowners seeking home repair and maintenance services with independent service technicians. NexFix provides: (a) A marketplace for homeowners to post service requests; (b) Tools for technicians to submit competitive quotes; (c) AI-powered features including description improvement, photo analysis, chat-based assistance, and cost estimation, powered by Anthropic, PBC; (d) Real-time messaging between homeowners and technicians; (e) Contract management and review tools. NexFix is a platform intermediary only. We do not provide home repair services directly. We do not employ technicians. Technicians are independent contractors.

3. User Accounts

To use most features of the Service, you must create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and accept responsibility for all activity under your account.
  • Notify us immediately of any unauthorized use of your account.
  • Not share your account credentials with any other person.
  • Be at least 18 years old.

4. Homeowner Obligations

As a homeowner using the Service, you agree to:

  • Provide accurate descriptions and photos of the service needed.
  • Respond to technician quotes in a timely manner.
  • Grant technicians reasonable access to your property as agreed.
  • Pay technicians directly according to the agreed quote and contract.
  • Leave honest, accurate reviews of technician work.
  • Not post false, misleading, or fraudulent service requests.
  • Not use the Service to solicit technicians to work off-platform to circumvent NexFix.

5. Technician Obligations

As a technician registered on the Service, you agree to:

  • Provide accurate and truthful information about your qualifications, licenses, insurance, and company.
  • Submit competitive and honest quotes that reflect your actual pricing.
  • Complete agreed-upon work in a professional and timely manner.
  • Maintain all required licenses, certifications, and insurance required by applicable law.
  • Not submit fraudulent or misleading quotes.
  • Not solicit homeowners to work off-platform once connected through NexFix.
  • Comply with all applicable local, state, and federal laws and regulations.

6. AI Features and Limitations

The Service includes AI-powered features such as description improvement, photo analysis, urgency detection, cost estimation, and chat-based assistance. These features are powered by third-party AI providers, including Anthropic, PBC (provider of the Claude AI models). By using AI-powered features, you acknowledge and agree: (a) AI outputs are estimates and suggestions only — they are not professional advice of any kind, including engineering, construction, plumbing, electrical, or home inspection advice; (b) AI cost estimates do not constitute binding quotes from any technician; (c) AI analysis of uploaded photos is automated and probabilistic and may be inaccurate or incomplete; (d) You should not rely solely on AI outputs for significant financial, safety, or property decisions; (e) NexFix is not liable for decisions made based on AI outputs; (f) Photos and text you submit to AI features are transmitted to and processed by Anthropic in accordance with their Privacy Policy (https://www.anthropic.com/legal/privacy); (g) You are responsible for not submitting sensitive personal information through AI-powered features. 7. User Responsibilities Regarding AI Interactions

When using AI-powered features of the Service, you are solely responsible for: (a) Only submitting photos and descriptions related to your own property or property for which you have lawful authorization; (b) Not submitting sensitive personal information — including government identification numbers, financial account numbers, health or medical information, or personal data belonging to third parties — through AI chat or image upload features; (c) Understanding that AI-generated content, including cost estimates, urgency assessments, category suggestions, and chat responses, is not professional advice and must be independently verified before acting on it; (d) Verifying any AI-generated recommendation or estimate with a licensed technician before authorizing any repair work; (e) Acknowledging that your inputs to AI features are transmitted to Anthropic, PBC and subject to Anthropic's data handling practices as described in our Privacy Policy. By interacting with AI features, you consent to your inputs being processed by Anthropic as described in our Privacy Policy. If you do not wish to have your content processed by third-party AI providers, you may use non-AI features of the Service without submitting content to AI-powered functions.

8. Platform Fees and Payments

The Service is currently provided free of charge. NexFix reserves the right to introduce subscription fees, transaction fees, or premium features in the future. Users will be given advance notice of any fee changes. All payments for services are made directly between homeowners and technicians. NexFix does not process, hold, or guarantee payments. Any payment disputes are between the homeowner and technician.

9. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose.
  • Post false, misleading, defamatory, or fraudulent content.
  • Harass, threaten, or abuse other users.
  • Attempt to gain unauthorized access to the Service or other users' accounts.
  • Use automated scripts, bots, or scrapers on the Service.
  • Reverse engineer, decompile, or disassemble the Service.
  • Interfere with the integrity or performance of the Service.
  • Impersonate any person or entity.
  • Upload viruses, malware, or malicious code.
  • Use the Service to spam or send unsolicited communications.
  • Submit false, fabricated, or misleading content to AI features with the intent of generating harmful or fraudulent outputs.

10. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Vyrona Labs LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. By submitting content to the Service (including service descriptions, photos, and reviews), you grant NexFix a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NexFix does not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI estimates or recommendations generated by Anthropic's models will be accurate; (c) technicians will perform satisfactory work; (d) the Service is free of viruses or harmful components; (e) third-party AI providers including Anthropic will remain available or unmodified.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXFIX AI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM: (a) Your use of or inability to use the Service; (b) Any content posted by users on the Service; (c) Work performed by technicians connected through the Service; (d) Unauthorized access to or alteration of your transmissions or data; (e) Any errors or inaccuracies in AI-generated estimates, analyses, or recommendations produced by Anthropic or any other AI provider; (f) Changes to or unavailability of third-party AI services. IN NO EVENT SHALL NEXFIX AI'S TOTAL LIABILITY EXCEED $100 USD OR THE AMOUNT PAID BY YOU IN THE PRECEDING SIX MONTHS, WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vyrona Labs LLC and its officers, directors, employees, agents, and licensors from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) any content you submit to the Service; (d) your interactions with other users; (e) any actions you take in reliance on AI-generated outputs.

14. Account Termination

NexFix reserves the right to suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the platform. You may delete your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in class action lawsuits or class-wide arbitrations.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use after changes take effect constitutes acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
